Consultant agrees to keep confidential all proprietary information, trade secrets, and business information received from Company. This obligation survives termination of this Agreement.

6. Intellectual Property

All work product created by Consultant under this Agreement shall be considered "work made for hire." Company owns all rights to deliverables produced under this engagement.

7. Limitation of Liability

Consultant's liability under this Agreement shall not exceed the total fees paid hereunder.

8. Termination

Either party may terminate with __ days written notice. Company shall pay for all work completed prior to termination.
